CrossLink End User License Agreement

This End User License Agreement ("Agreement") is between PowerGraph LLC ("PowerGraph," "we," "us") and the organization acquiring the CrossLink application ("Customer," "you"). By installing or using CrossLink, you agree to this Agreement.
1. The Product
CrossLink is a software application for Microsoft Power Platform that provides cross-plan dependency management for Microsoft Planner Premium. It is licensed, not sold.
2. License Grant
Subject to this Agreement and payment of applicable subscription fees, PowerGraph grants you a non-exclusive, non-transferable license to install and use CrossLink within your own Microsoft cloud environments, for use by the number of users covered by your subscription. Each individual who uses CrossLink requires a license under your subscription plan.
3. Subscription and Billing
CrossLink is purchased through the Microsoft commercial marketplace. Pricing, billing, renewal, and cancellation are governed by the plan you select and Microsoft's marketplace terms. Subscription fees are non-refundable except as required by law or by Microsoft's marketplace policies.
4. Your Data
CrossLink runs entirely within your own Microsoft environment. Your project plans, tasks, dependency links, and related data remain in your Microsoft cloud tenant at all times. PowerGraph does not collect, access, store, or transmit your business data. You are responsible for administering access to CrossLink within your environment using the security roles the product provides.
5. Restrictions
You may not: (a) copy, modify, or create derivative works of CrossLink; (b) reverse engineer, decompile, or disassemble it, except where such restriction is prohibited by law; (c) rent, lease, resell, sublicense, or redistribute it; (d) use it to build a competing product; or (e) remove or alter any proprietary notices.
6. Ownership
CrossLink, including all intellectual property rights in it, is and remains the property of PowerGraph LLC. No rights are granted except as expressly stated in this Agreement.
7. Third-Party Components
CrossLink includes open-source software components that are licensed under their own terms. The list of those components, together with their copyright and license notices, is published at https://powergraph.com/open-source-licenses/#crosslink. Those license terms govern the respective components and apply in place of Sections 5 and 6 to the extent they conflict with this Agreement.
8. Support and Updates
Product information and support resources are available at https://powergraph.com/products/crosslink/. PowerGraph may provide updates to CrossLink from time to time; updates are covered by this Agreement.
9. Term and Termination
This Agreement remains in effect while your subscription is active. It terminates automatically if your subscription ends or if you materially breach it and do not cure the breach within thirty (30) days of notice. Upon termination, you must stop using CrossLink and remove it from your environments. Sections 4 through 12 survive termination.
10. Warranty Disclaimer
CROSSLINK IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWERGRAPH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. POWERGRAPH DOES NOT WARRANT THAT CROSSLINK WILL BE UNINTERRUPTED OR ERROR-FREE. CROSSLINK ASSISTS WITH SCHEDULE MANAGEMENT; YOU REMAIN RESPONSIBLE FOR YOUR OWN PROJECT DECISIONS AND OUTCOMES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWERGRAPH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID FOR CROSSLINK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL POWERGRAPH BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. General
This Agreement is governed by the laws of the State of Washington, USA, without regard to conflict-of-law principles. If any provision is held unenforceable, the remainder stays in effect. This Agreement is the entire agreement between the parties regarding CrossLink and supersedes any prior agreements on the subject. Microsoft is not a party to this Agreement and has no obligations under it.
