1. Introduction

Welcome to Nexus by PowerGraph! These Terms and Conditions ("Terms") govern your use of the Nexus application ("Application") and outline important information about your rights and obligations. By installing or using the Application, you agree to be bound by these Terms and our Privacy Policy.

2. License to Use

Subject to these Terms, PowerGraph grants you a non-exclusive, non-transferable, revocable license to use the Nexus app solely for your internal business operations on devices that meet the system and compatibility requirements described in our documentation.

You agree to use Nexus only for lawful purposes and in accordance with these Terms. You must not use Nexus to:

• Transmit any data or send or upload any material that contains viruses, trojan horses, worms, or any other harmful programs.
• Attempt to gain unauthorized access to any service, data, account, or network by any means.

4. Intellectual Property Rights

All intellectual property rights in the Nexus app, its content, and the underlying technologies belong to PowerGraph or our licensors. Nothing in these Terms grants you any rights in the app other than as necessary to enable you to access the app.

5. Subscription Fees and Payment

Nexus is available under a subscription model. Details regarding the subscription fees and payment terms are provided at the point of purchase on the Microsoft Marketplace.

You agree to defend, indemnify, and hold harmless PowerGraph and its licensee and licensors, and their employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the app, including any data or content transmitted or received by you.

These Terms shall be governed and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions.
